• "Services": Refers to all services provided by Phonate.

3. Scope of Services

Phonate offers a range of IT services and solutions. The specific scope of work, deliverables, timelines, and fees for any Project will be defined in a separate agreement. In case of any conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.

4. Client Responsibilities

• Accuracy of Information: You agree to provide accurate and complete information.
• Cooperation: You agree to cooperate with Phonate for the success of the Project.
• Compliance: You agree to comply with all applicable laws.
• Prohibited Activities: You must not:
  • Violate any laws.
  • Infringe on intellectual property rights.
  • Engage in harassment or discrimination.
  • Submit false information.
  • Upload malicious code.
  • Collect personal data unlawfully.
  • Spam or scrape content.
  • Bypass website security features.

5. Payment Terms

• Payments are due as per the issued invoices.
• Fees are exclusive of applicable taxes.
• Late payments may incur interest as specified in the agreement.

6. Intellectual Property

• Phonate IP: All Website content is protected and owned by Phonate or its licensors.
• Client IP: Remains the Client’s property, used only for the Project purpose.
• Project Deliverables: Upon full payment, rights for custom deliverables transfer to the Client. Phonate retains rights to tools and components used.

7. Confidentiality

Both parties agree to maintain confidentiality of non-public information. This obligation continues after termination of any agreement.

8. Disclaimers

• "As Is" Basis: Services and Website are provided without warranties.
• No Guarantees: We do not guarantee Services will be error-free or meet all requirements unless explicitly stated.

9. Limitation of Liability

To the maximum extent permitted by law, Phonate is not liable for indirect, incidental, or consequential damages. Total liability will not exceed the amount paid by you for the specific service in the past 12 months.

10. Indemnification

You agree to indemnify and hold harmless Phonate and its representatives from any claim or liability arising from your breach of these Terms or applicable laws.

11. Termination

We reserve the right to terminate your access to our Website and Services without notice if you violate these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by Indian law. All disputes are subject to the exclusive jurisdiction of the courts in Fatehpur, Uttar Pradesh, India.

We may update these Terms at our discretion. Material changes will be notified in advance. Continued use constitutes acceptance of revised terms.
